These Terms of Service (the “Terms”) govern your access to and use of the website located at www.adeptrenoandpaint.ca (the “Website”), and any content, forms, or services made available through it. Adept Renovation & Painting Inc. (“Adept Renovation & Painting,” “we, ” “us,” or “our”) is the operator of the Website.

By accessing the Website or submitting information through it, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Website.

Adept Renovation & Painting Inc. operates Adept Renovation & Painting, a licensed interior renovation and painting contractor serving homeowners and commercial clients across Toronto and the Greater Toronto Area. Our work includes kitchen and bathroom renovations, basement finishing, drywall, trim, professional painting, and related interior scopes — coordinated under clear written quotes and contracts. You must be at least the age of majority in your province or territory of residence to use the Website or submit a form. By submitting information through the Website, you represent and warrant that:

• You are at least 18 years old;
• The information you provide is accurate, current, and complete; and
• If you are submitting on behalf of a business, you have the authority to bind that business to these Terms.

The Website provides general information about Adept Renovation & Painting’s services and is a channel through which you can request a consultation, estimate, or quote. Nothing on the Website constitutes a binding offer by Adept Renovation & Painting to perform work at a stated price or schedule, and your submission of a form does not create a construction contract. A binding agreement for labour, materials, and project delivery is formed only when the parties execute an appropriate written contract (for example, a signed scope and price after a site visit).

All content on the Website — including text, graphics, logos, icons, images, software, and the organization and selection of that content — is owned by Adept Renovation & Painting Inc.or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, Adept Renovation & Painting grants you a limited, non-exclusive, non-transferable, revocable licence to access the Website and view its content for your personal or internal business evaluation. No other rights are granted.

You may not, without our prior written consent:

• Copy, reproduce, modify, republish, frame, or create derivative works from any part of the Website;
• Use any Adept Renovation & Painting trademark, service mark, logo, or trade name (including “Adept Renovation & Painting Inc.” and the Adept Renovation & Painting word mark) in a way that suggests endorsement, affiliation, or sponsorship where none exists;
• Use the Website’s content to train, fine-tune, or benchmark any machine-learning model or to build a competing product or service; or
• Use any automated system (robots, spiders, scrapers) to access the Website other than publicly documented search-engine crawlers obeying the Website’s robots.txt.

You agree not to use the Website in any way that is unlawful, harmful, or that could damage, disable, overburden, or impair the Website or interfere with any other party’s use of it. Prohibited conduct includes, but is not limited to:

• Uploading or transmitting viruses, worms, or any other malicious code;

You also consent to the handling of that information as described in our Privacy Policy, and — where you check the applicable consent boxes — you grantAdept Renovation & Painting express consent to contact you by email, phone, and text about our services, as required by Canada’s Anti-Spam Legislation (CASL).

You may withdraw consent to commercial electronic messages at any time, and every marketing email we send includes a working unsubscribe mechanism. Unsubscribe requests are honoured within ten (10) business days.

If you send us feedback, suggestions, or ideas about the Website or our services (“Feedback”), you grant Adept Renovation & Painting a non-exclusive, royalty-free, perpetual, worldwide licence to use that Feedback without any obligation of confidentiality, attribution, or compensation.

The Website may contain links to third-party websites, products, or services that are not owned or controlled by Adept Renovation & Painting. We provide these links for convenience only. We do not endorse and are not responsible for the content, policies, or practices of any third party. Your use of any third-party website or service is governed by that third party’s terms and privacy policy.

The Website and its content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Adept Renovation & Paintingdisclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and title.

Without limiting the previous paragraph:

• We do not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• We do not warrant that the information on the Website is accurate, complete, reliable, current, or error-free.
• Any timelines, pricing ranges, photos, or project descriptions on the Website are general or illustrative. Actual schedules, costs, finishes, and outcomes depend on site conditions, product availability, code requirements, and the scope agreed in your written contract. Past projects and testimonials are not a guarantee that your job will match a particular budget, duration, or aesthetic.
• Testimonials and case studies reflect individual client experiences and are not a guarantee that you will achieve the same or similar outcomes.

Nothing in these Terms is intended to exclude or limit any warranty or right that cannot be excluded or limited under applicable law, including any non-excludable consumer-protection statute in the province, state, or country where you reside.

To the fullest extent permitted by law, in no event willAdept Renovation & Painting, its officers, directors, employees, or contractors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost goodwill, or loss of data, arising out of or in connection with your use of the Website, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to your use of the Website, whether in contract, tort (including negligence), statute, or otherwise, is limited to the greater of (a) one hundred Canadian dollars (CAD $100), or (b) the total amount you have paid to Adept Renovation & Painting under a written project contract in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for fraud, fraudulent misrepresentation, gross negligence, non-excludable rights under the mandatory consumer-protection laws of your jurisdiction).

You agree to indemnify, defend, and hold harmless Adept Renovation & Painting, its officers, directors, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms;
• Your violation of any law or the rights of any third party; or
• Your misuse of the Website.

Your privacy matters. Our collection and handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Website, you acknowledge that you have read and understood the Privacy Policy.

When you provide us with your email address or phone number and give the required consents, you agree that we may communicate with you electronically (email, text, phone, and in-platform messages). Electronic communications from Adept Renovation & Painting satisfy any legal requirement that such communications be in writing. You may withdraw consent to commercial electronic messages at any time, subject to the terms of our Privacy Policy and CASL.

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be announced through a prominent notice on the Website or by email to clients before they take effect. Your continued use of the Website after a change takes effect means you accept the revised Terms.

We may also modify, suspend, or discontinue all or part of the Website at any time, with or without notice, and we may terminate or restrict your access to the Website if you violate these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

You agree that disputes arising out of these Terms or your use of the Website will be resolved in the courts of Ontario, Canada. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

This Section 15 is subject to any non-excludable rights you have under the laws of your home jurisdiction. Additional terms for users outside Canada are set out in Section 16.

Adept Renovation & Painting Inc. is based at Toronto, ON (Greater Toronto Area). Our Website is not directed at any particular country, but visitors and clients may access it internationally. If you access the Website or engage us from outside your home jurisdiction, the following additional terms may apply:

• You access the Website on your own initiative and are responsible for compliance with the laws that apply where you are.
• You agree that these Terms are governed as set out in Section 15, and that any dispute will be resolved as described there, subject to any non-excludable rights you have under the mandatory consumer-protection or other laws of your home jurisdiction.
• If you are a US resident, our Privacy Policy describes the rights you have under the California Consumer Privacy Act (CCPA) and other US state privacy laws, and how we comply with the US Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act when we contact you by phone, text, or email.
• If you give us a US phone number and check the marketing consent box, you provide prior express written consent under the TCPA to receive marketing calls and text messages at that number, including through automated dialing systems or pre-recorded voices. Consent is not a condition of any purchase. You can opt out of texts by replying STOP and out of calls or emails by telling us or using the unsubscribe link.
• Where we actually perform work for a US-based client, the signed construction or service contract governs the commercial relationship and may specify a different governing law, venue, or dispute resolution process for that engagement. Where the signed contract conflicts with these Terms, the signed contract controls.
• You represent that you are not on any applicable sanctions, embargo, or denied-parties list, and that your use of the Website and our services complies with applicable export controls and trade-sanctions laws.

If any provision of these Terms is unenforceable in your jurisdiction, the rest remains in effect as set out in Section 17 below.

• Entire agreement. These Terms, together with our Privacy Policy and any written project contract between you and Adept Renovation & Painting, are the entire agreement between you andAdept Renovation & Painting about the Website and supersede any prior agreements about the same subject matter.
• Severability. If any part of these Terms is held to be invalid or unenforceable, the rest remains in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
